THE OPPORTUNITY:
We are seeking a talented and experienced M&A Manager to join our team reporting to the Executive Vice President (EVP) of M&A, while holding a dotted line relationship to the VP Finance & Corporate Controller. The individual will be directly responsible for all financial, accounting, and analysis diligence and integration work required for all target acquisitions while possessing the ability to build strong relationships with third parties and target companies. The successful candidate will have strong analytical skills, the ability to analyze large amounts of data, and extract key information from minimal or unsophisticated data and reporting. This role is crucial in supporting the company's growth strategy through effective M&A activities and relationships.
RESPONSIBILITIES:
Financial Analysis:- Conduct financial due diligence on potential acquisition targets, including analyzing financial statements, identifying key financial metrics, and assessing risks and opportunities.
- Identify potential synergies and develop system to drive achievement of synergies and track actual synergies versus planned synergies.
- Evaluate the strategic fit of potential acquisitions and provide financial analysis to support decision-making.
- Prepare financial models (including TTM Pro Forma models), forecasts, and valuation analyses to assess the financial impact of potential acquisitions.
- Collaborating with Finance, IT and HR develop acceptable transition services agreements with Seller – identify risks with leases, inventory reserves, payroll and benefit conversion process and system conversions, etc., as necessary – assist in completing the requirements under these agreements during post-closing transition services period;
- Collaborate with cross-functional teams, including HR, IT, operations, and third parties, to assess integration requirements and develop integration plans.
- Support the deal terms negotiation process, including reviewing and analyzing transaction documents.
- Coordinate and manage the integration process post-acquisition, including financial reporting, accounting consolidation, and system integration.
- Monitor and track post-acquisition performance against integration plans and financial projections.
- Provide regular updates and reports to executive leadership team (ELT), senior management, and Finance on the progress and performance of M&A activities.
- Support and cultivate strong relationships with key stakeholders in target companies, including owners and their leadership teams. Serve as a point of contact for communication, managing inquiries and sharing relevant information as directed by the EVP M&A
- Recommend strategies for managing cultural integration during and after the acquisition
- Participate in due diligence processes to verify information and identify any potential cultural or operational issues
- Support the process and/or participate in meetings where regular updates are provided to management on the target company and progress of the project
- Bachelor’s degree in Finance, Accounting, Business, or related field.
- Minimum of 5 years of experience in investment banking and/or private equity with a focus on M&A transactions. Preferred 1-3 years of experience working in a private equity firm or a private equity owned portfolio company.
- Strong analytical skills with the ability to analyze complex financial data and extract key insights.
- Proficiency in financial modeling, valuation techniques, and financial analysis.
- Experience conducting financial due diligence on potential acquisition targets.
- Excellent communication and interpersonal skills including the ability to build strong rapport, with the ability to collaborate effectively across different functional areas as well as third parties and target company owners/leadership teams.
- Detail-oriented mindset with a focus on accuracy and precision.
- Ability to work independently and manage multiple projects simultaneously in a fast-paced environment.
- Strong organizational skills and ability to prioritize tasks effectively.
